1. Definitions
In these Terms and Conditions:
- "Alden Chambers," "We," "Us," "Our" refers to the investment consulting practice operating under the name Alden Chambers
- "Client," "You," "Your" refers to the individual or entity engaging our advisory services
- "Services" refers to investment consulting and advisory services provided by Alden Chambers
- "Engagement" refers to the contracted advisory relationship between Alden Chambers and Client
- "Chambers" refers to our private consultation facilities in Taipei, Taiwan
- "Agreement" refers to these Terms and Conditions along with any specific engagement letter
2. Acceptance of Terms
By engaging our services, contacting us for consultation, or using our website, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements. By engaging our services, you represent that you meet these requirements.
These terms constitute a legally binding agreement between you and Alden Chambers.
3. Service Description
Alden Chambers provides investment consulting services focused on Taiwan opportunities. Our services include:
- Private consultation and opportunity assessment
- Due diligence coordination with qualified professionals
- Documentation review and assembly
- Professional network coordination for verification purposes
- Advisory guidance for investment processes
Services are provided subject to availability and at our discretion. We reserve the right to decline engagements that do not align with our practice focus or professional standards.
Specific service scope and deliverables are defined in individual engagement letters provided prior to service commencement.
4. User Responsibilities
4.1 Information Accuracy
You are responsible for providing accurate, complete, and current information during our advisory relationship. You must promptly notify us of any changes to information previously provided that may affect our advisory services.
4.2 Confidentiality Obligations
You agree to maintain confidentiality regarding our advisory discussions, proprietary processes, and any confidential information we share during the engagement. This obligation survives termination of our advisory relationship.
4.3 Prohibited Activities
When using our services or website, you agree not to:
- Provide false or misleading information
- Use our services for any illegal or unauthorized purpose
- Violate any Taiwan laws or regulations
- Infringe upon intellectual property rights
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services or servers
5. Intellectual Property
All content on our website and in our materials, including text, graphics, logos, processes, and methodologies, is the property of Alden Chambers and is protected by Taiwan and international intellectual property laws.
We grant you a limited, non-transferable license to access and use our website and services for their intended purposes. This license does not include:
- Reproduction or redistribution of our materials
- Commercial use of our proprietary processes
- Creation of derivative works based on our materials
- Removal of copyright or proprietary notices
Materials prepared specifically for your engagement remain your property, though we retain copies as required by professional record-keeping obligations.
6. Payment Terms
6.1 Fees and Pricing
Service fees are specified in our engagement letter and on our website. All fees are stated in New Taiwan Dollars (NT$) unless otherwise indicated. Payment terms are as follows:
- Chamber Consultation: Payment due prior to scheduled meeting
- Private Advisory Service: 50% deposit at engagement start, balance upon completion
- Inner Circle Program: 40% deposit at start, 30% at mid-engagement, 30% at completion
6.2 Payment Methods
We accept bank transfer and other payment methods as specified in your engagement letter. Payment instructions will be provided upon engagement confirmation.
6.3 Third-Party Costs
Our service fees do not include third-party professional costs (legal counsel, financial specialists, verification services). These costs are billed separately and require your approval before being incurred.
6.4 Refund Policy
Chamber Consultation fees are non-refundable once the meeting is scheduled. For other services, deposits are refundable if we cancel the engagement, but not if you choose to terminate. Refund requests must be submitted in writing to [email protected]
7. Service-Specific Terms
7.1 Consultation Services
Chamber Consultations provide initial assessment and are not comprehensive due diligence. Recommendations made during consultation are preliminary and subject to further verification if you proceed with full engagement.
7.2 Advisory Engagements
Advisory services require active participation from you, including timely provision of requested information and documentation. Delays in receiving required materials may extend engagement timelines.
7.3 Scope Changes
Changes to engagement scope must be agreed in writing and may result in fee adjustments. We will provide revised cost estimates before proceeding with scope modifications.
8. Disclaimers
8.1 No Investment Guarantees
Our services provide professional advisory and coordination but do not assure specific investment outcomes. Investment decisions remain your responsibility, and all investments carry inherent risk.
8.2 Professional Advice Limitation
While we coordinate with qualified professionals, we are not legal counsel, certified accountants, or licensed financial planners. Our services complement but do not replace specialized professional advice in these areas.
8.3 "As Is" Service
Services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for particular purpose, or non-infringement.
9. Limitation of Liability
To the maximum extent permitted by Taiwan law, Alden Chambers' total liability for any claims arising from our services shall not exceed the fees paid by you for the specific engagement giving rise to the claim.
We are not liable for:
- Investment decisions made based on our advisory services
- Actions or omissions of third-party professionals we coordinate
- Indirect, consequential, or punitive damages
- Loss of profits, business opportunities, or data
- Events beyond our reasonable control (force majeure)
This limitation applies regardless of the form of action, whether in contract, negligence, or other theory.
10. Indemnification
You agree to indemnify and hold harmless Alden Chambers, its advisors, and affiliated professionals from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your violation of these terms, or your violation of any rights of third parties.
11. Termination
11.1 Termination by Either Party
Either party may terminate an advisory engagement with written notice. Termination does not relieve you of payment obligations for services rendered through the termination date.
11.2 Effect of Termination
Upon termination, we will provide work completed through the termination date. Confidentiality obligations, intellectual property provisions, and dispute resolution terms survive termination.
11.3 Immediate Termination
We reserve the right to terminate immediately without notice if you violate these terms, provide false information, or engage in conduct we deem inappropriate.
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of Taiwan. Any disputes shall be subject to the jurisdiction of courts in Taipei, Taiwan.
12.2 Informal Resolution
Before initiating formal proceedings, parties agree to attempt informal resolution through good faith negotiation for a period of 30 days.
12.3 Mediation
If informal resolution fails, parties agree to attempt mediation through a mutually agreed mediator before pursuing litigation.
13. General Provisions
13.1 Entire Agreement
These Terms, together with any engagement letter, constitute the entire agreement between parties and supersede all prior discussions and agreements.
13.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
13.3 Waiver
Failure to enforce any provision does not constitute waiver of that provision or our right to enforce it in the future.
13.4 Assignment
You may not assign your rights or obligations under these Terms without our written consent. We may assign to affiliated entities or successors.
13.5 Notices
All notices must be in writing and delivered to the addresses specified in the engagement letter or to [email protected]
14. Changes to Terms
We may update these Terms periodically. Changes become effective upon posting to our website. Continued use of our services after changes constitutes acceptance of modified terms. For ongoing engagements, significant changes will be communicated directly and require your acceptance to continue.
